Terms & Conditions

These Terms and Conditions (“Terms”, “Agreement”) govern the access to and use of the School Management Platform, including all websites, mobile applications, software systems, databases, APIs, AI systems, communication tools, payment systems, and related services (collectively referred to as the “Platform”).

By registering, accessing, subscribing to, or using the Platform, all schools, administrators, staff, teachers, students, parents, guardians, contractors, and other users (“Users”) agree to be legally bound by these Terms.

If any User does not agree with these Terms, such User must immediately discontinue use of the Platform.

For the purpose of these Terms:

• “Platform” means the School Management Platform and all associated technologies, systems, infrastructure, applications, and services.
• “School” means any educational institution registered on the Platform.
• “User” means any individual or entity accessing or using the Platform.
• “Content” means all data, files, records, communications, documents, images, videos, academic materials, and information uploaded or generated through the Platform.
• “Assets” means the Platform’s intellectual property, source code, branding, AI systems, databases, software architecture, infrastructure, trade secrets, business methods, analytics systems, and proprietary technologies.

Users may only access the Platform if they:

• Possess the legal capacity to enter binding agreements;
• Are authorized by a registered school where applicable;
• Provide accurate registration information;
• Comply with all applicable laws and regulations.

The Platform reserves the unrestricted right to approve, reject, suspend, or terminate any registration at its sole discretion.

Users are solely responsible for:

• Maintaining confidentiality of login credentials;
• Restricting unauthorized access;
• All activities conducted under their accounts;
• Providing accurate and updated information.

Users must immediately notify the Platform of:

• Security breaches;
• Unauthorized access;
• Suspected misuse of accounts.

The Platform shall not be liable for losses arising from compromised credentials caused by User negligence.

The Platform grants Users a limited, revocable, non-transferable, non-exclusive license to access and use the Platform solely for lawful educational and administrative purposes.

This license does NOT grant ownership rights over the Platform or its Assets.

All rights, title, and interests in the Platform and its Assets remain the exclusive property of the Platform and its licensors.

Protected Assets include:

• Source code;
• Software architecture;
• User interface designs;
• AI systems;
• Databases;
• Algorithms;
• Branding;
• Logos;
• APIs;
• Workflows;
• Reports;
• Security systems;
• Documentation;
• Trade secrets;
• Analytics models.

Users SHALL NOT:

• Copy or clone the Platform;
• Reverse engineer the software;
• Decompile or disassemble systems;
• Reproduce features for commercial competition;
• Extract databases;
• Create derivative works;
• Sell, sublicense, or redistribute the Platform;
• Use bots or automated scraping systems;
• Circumvent security protections.

Violations may result in immediate legal action.

Users agree NOT to:

• Use the Platform for unlawful purposes;
• Upload malicious software or viruses;
• Conduct fraudulent activities;
• Harass or abuse other users;
• Upload defamatory or illegal content;
• Interfere with platform operations;
• Attempt unauthorized system access;
• Manipulate academic records unlawfully;
• Abuse payment systems;
• Use the Platform to violate intellectual property rights.

The Platform reserves full discretion to investigate and remove prohibited activities.

Schools are solely responsible for:

• Accuracy of uploaded records;
• Compliance with educational regulations;
• Obtaining parental/guardian consents;
• Internal administrative decisions;
• Staff conduct;
• Academic grading decisions;
• Student disciplinary actions;
• Proper use of Platform tools.

The Platform functions only as a technology service provider and does not control school administrative decisions.

Schools retain ownership of institutional records uploaded into the Platform.

The Platform may process, store, analyze, backup, transmit, and manage data solely for:

• Service delivery;
• System optimization;
• AI automation;
• Security;
• Analytics;
• Legal compliance;
• Backup and disaster recovery.

Users SHALL NOT upload content that:

• Violates laws;
• Infringes intellectual property;
• Contains malware;
• Promotes violence or hate;
• Violates privacy rights;
• Contains false or fraudulent information.

The Platform may remove content without prior notice.

Access to certain features may require subscription payments.

All fees:

• Must be paid as due;
• Are generally non-refundable unless expressly stated otherwise;
• May change at the Platform’s discretion.

Failure to make payments may result in:

• Service suspension;
• Restricted access;
• Data limitations;
• Account termination.

Payments may be processed through external providers. The Platform shall not be liable for third-party payment failures beyond reasonable control.

Where AI-powered systems are integrated, Users acknowledge that:

• AI outputs are advisory only;
• Human administrative review remains necessary;
• AI-generated recommendations may contain inaccuracies;
• The Platform does not guarantee AI decision accuracy.

Schools remain fully responsible for final decisions.

Users agree to maintain confidentiality regarding:

• Platform technology;
• Internal business operations;
• Security systems;
• Proprietary methods;
• Administrative credentials;
• Non-public institutional records.

Unauthorized disclosure may attract civil and criminal liability.

The Platform aims to maintain reliable services but does NOT guarantee uninterrupted availability.

Services may be affected by:

• Maintenance;
• Technical failures;
• Cyberattacks;
• Internet disruptions;
• Third-party infrastructure issues;
• Force majeure events.

The Platform reserves the right to suspend services temporarily without liability.

While reasonable backup systems may be implemented, Users remain responsible for maintaining independent backups of critical records.

The Platform does not guarantee recovery of lost data under all circumstances.

Use of the Platform is also governed by the Platform’s Privacy Policy, which forms part of these Terms.

Users consent to data processing practices described therein.

The Platform may integrate third-party services including:

• Payment gateways;
• Cloud hosting providers;
• Messaging systems;
• AI services;
• Analytics platforms.

The Platform is not responsible for acts, omissions, failures, or policies of independent third parties.

The Platform reserves the unrestricted right to:

• Suspend accounts;
• Restrict access;
• Remove content;
• Terminate services;

where Users:

• Violate these Terms;
• Engage in suspicious activities;
• Create security risks;
• Fail to make payments;
• Abuse the Platform.

Termination may occur without prior notice where necessary.

To the maximum extent permitted by law, the Platform and its owners, affiliates, employees, agents, contractors, and licensors shall NOT be liable for:

• Loss of profits;
• Academic losses;
• Data loss;
• Service interruptions;
• Cybersecurity breaches;
• Unauthorized access;
• Indirect or consequential damages;
• Business disruption;
• Reputational damage;
• Human administrative errors;
• AI inaccuracies;
• Third-party failures.

Use of the Platform is entirely at the User’s own risk.

Users and Schools agree to indemnify, defend, and hold harmless the Platform and its affiliates against all claims, damages, liabilities, legal costs, penalties, and expenses arising from:

• Breach of these Terms;
• Misuse of the Platform;
• Violation of laws;
• Intellectual property infringement;
• User negligence;
• School administrative actions;
• Uploaded content.

The Platform shall not be liable for delays or failures caused by events beyond reasonable control including:

• Natural disasters;
• Cyber warfare;
• Government actions;
• Internet outages;
• Power failures;
• Strikes;
• Pandemics;
• Civil unrest.

These Terms shall be governed by and interpreted under the laws applicable within the jurisdiction where the Platform operates and is legally registered.

Any disputes arising under these Terms shall first be resolved through:

• 1. Good-faith negotiations;
• 2. Mediation;
• 3. Arbitration or competent court proceedings where unresolved.

The Platform reserves the right to seek injunctive relief for intellectual property or security violations.

The Platform reserves the unrestricted right to modify these Terms at any time.

Updated Terms become effective immediately upon publication.

Continued use of the Platform constitutes acceptance of revised Terms.

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied.

The Platform disclaims all warranties including:

• Merchantability;
• Fitness for a particular purpose;
• Non-infringement;
• Continuous availability;
• Error-free operation.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain fully enforceable.

These Terms, together with the Privacy Policy and any additional legal policies, constitute the complete agreement between Users and the Platform.
